END USER LICENSE AGREEMENT

Please read this End User License Agreement ("Agreement") carefully before using MEDTIUM's Unified Health Ecosystem ("the Platform"). By accessing or using the Platform, you agree to be bound by the terms and conditions of this Agreement.

1. LICENSE GRANT

Subject to your compliance with this Agreement, MEDTIUM grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your authorized business or healthcare operations within the MEDTIUM ecosystem.

2. RESTRICTIONS

You agree not to:

• Copy, modify, or create derivative works of the Platform or its content
• Reverse engineer, decompile, or disassemble any portion of the Platform
• Use the Platform for any illegal purpose or in violation of any healthcare regulations
• Attempt to gain unauthorized access to any portion of the Platform or related systems
• Use any automated means to access the Platform or collect information
• Remove, alter, or obscure any proprietary notices

3. INTELLECTUAL PROPERTY RIGHTS

The Platform and its content, features, and functionality are owned by MEDTIUM and are protected by intellectual property laws. This includes our AI-powered analytics, predictive models, and ecosystem integration technologies.

4. DATA PRIVACY AND SECURITY

Your use of the Platform is subject to our comprehensive data privacy and security protocols, designed to comply with healthcare regulations including HIPAA. All data exchange and storage within the ecosystem follows strict security standards.

5. USER RESPONSIBILITIES

As a participant in the MEDTIUM ecosystem, you agree to:

• Maintain the confidentiality of your access credentials
• Ensure compliance with all applicable healthcare regulations
• Report any security incidents or unauthorized access promptly
• Maintain accurate and up-to-date information within the system

6. DISCLAIMERS

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. MEDTIUM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY

IN NO EVENT SHALL MEDTIUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

8. TERMINATION

MEDTIUM may terminate your access to the Platform at any time for violation of this Agreement or our security policies. Upon termination, you must cease all use of the Platform.

9. MODIFICATIONS

MEDTIUM reserves the right to modify this Agreement at any time. Continued use of the Platform after modifications indicates acceptance of the modified Agreement.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
